SheRecs Terms of Service

These Terms of Service (these “Terms”) govern your access to and use of the SheRecs website, mobile application (collectively, the “Site”), and all related products, features, functionality, content, communications, and services we make available (collectively, the “Services”). These Terms form a legally binding agreement between you and SheRecs LLC (“SheRecs”, “Company”, “we”, “us”, or “our”). By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines, each of which is incorporated herein by reference.

SheRecs is a recommendation-based community platform designed to help members share and discover trusted service provider recommendations within private or controlled member networks. The Services allow members to create profiles, submit recommendations and related content (“RecCards”), describe and share service providers, interact with community content, send messages, invite other members, and participate in community features including HotRecs, GetToKnowHer, and OnHerMind.

You may not access or use the Services if you are not at least 18 years of age or if you have previously been suspended or removed from the Services. By accessing or using the Services, you represent and warrant that you are at least 18 years old, that you are otherwise legally competent to enter into these Terms, and that your use of the Services does not violate any applicable law. If you are accessing or using the Services on behalf of an entity, you further represent that you have authority to bind that entity to these Terms. If you do not agree to all provisions of these Terms, do not access or use the Services.

IMPORTANT: PLEASE READ SECTION 12 (DISPUTE RESOLUTION) CAREFULLY. Section 12 contains a binding arbitration agreement and class action waiver that affects your legal rights. Unless you opt out within 30 days of first accepting these Terms, you agree to resolve all disputes through individual arbitration rather than in court and waive your right to a jury trial and class action.

1. Accounts

1.1 Account Creation

To use certain features of the Services, you must register for an account (“Account”) and provide certain information as prompted by the registration form. You represent and warrant that: (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; and (c) you meet the eligibility requirements set forth in the Introduction above. You may delete your Account at any time by following the instructions on the Site. SheRecs may suspend or terminate your Account in accordance with Section 11.

1.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your Account login credentials and are fully responsible for all activities that occur under your Account. You agree to notify SheRecs immediately of any unauthorized use or suspected unauthorized use of your Account or any breach of security at contact@sherecs.com. SheRecs cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements. We reserve the right to refuse registration, reclaim usernames, suspend or terminate accounts, or require additional information reasonably necessary to verify identity, eligibility, or compliance with these Terms.

1.3 Founding Circle Membership

Members who join during our initial launch period (“FoundingCircle” members) who maintain at least ten (10) Recs in their RecLists and update their RecLists at least once per calendar quarter will retain free membership as SheRecs evolves, subject to the remainder of these Terms. SheRecs reserves the right to modify the conditions of this commitment upon reasonable advance notice to affected members consistent with Section 13.1 (Changes). This commitment applies only to the basic membership fee, if any, and does not limit SheRecs's right to introduce premium or tiered features at additional cost, to enforce these Terms, or to suspend or terminate accounts for cause.

2. Access to the Site

2.1 License

Subject to these Terms, SheRecs grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Site and Services solely for your own personal, non-commercial purposes.

2.2 Restrictions

Your rights under these Terms are subject to the following restrictions. You shall not: (a) license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or any content displayed on it; (b) modify, create derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site; (c) access the Site in order to build a similar or competitive product or service; (d) copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Site in any form or by any means, except as expressly permitted herein; or (e) remove or obscure any copyright or other proprietary notices on the Site. All copyright and other proprietary notices must be retained on all copies. Any future release, update, or addition to the functionality of the Site is subject to these Terms.

2.3 Modification and Availability

SheRecs reserves the right, at any time, to modify, suspend, or discontinue the Site or Services (in whole or in part) with or without notice. SheRecs will not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or Services.

2.4 No Support Obligation

You acknowledge and agree that SheRecs has no obligation to provide support or maintenance in connection with the Site or Services.

2.5 Ownership

Excluding User Content you provide (defined in Section 3.1), all intellectual property rights in the Site, Services, and their content, including copyrights, patents, trademarks, and trade secrets, are owned by SheRecs or its suppliers. These Terms do not transfer any rights, title, or interest in such intellectual property to you, except for the limited license set forth in Section 2.1. SheRecs and its suppliers reserve all rights not expressly granted herein. There are no implied licenses granted under these Terms.

2.6 Feedback

If you provide SheRecs with any feedback or suggestions regarding the Site or Services (“Feedback”), you hereby assign to SheRecs all rights in such Feedback and agree that SheRecs may use and fully exploit such Feedback in any manner it deems appropriate. SheRecs will treat all Feedback as non-confidential and non-proprietary. Do not submit Feedback that you consider confidential or proprietary.

3. User Content

3.1 Definition

“User Content” means any and all information and content that a member submits on, transmits through, or makes available through the Services, including profile information, RecCards, service provider information, ratings, notes, comments, messages, invitations, photos, feedback, and responses to community features such as HotRecs, GetToKnowHer, and OnHerMind. You are solely responsible for your User Content. You assume all risks associated with your User Content, including any reliance on its accuracy, completeness, or usefulness by others, and any disclosure of your User Content that personally identifies you or any third party.

3.2 License to User Content

Your User Content is yours, but you give us a license to it when you use SheRecs. By using the Site and Services, you grant SheRecs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works of, display, and perform your User Content for the limited purpose of providing, developing, and improving the Services, as permitted by applicable law and our Privacy Policy.

3.3 RecCard Submission Standards

When you submit a RecCard, you represent and warrant that: (i) you have a genuine prior relationship with the recommended service provider in a professional or service context; (ii) the information you are submitting, including any service provider contact information, is accurate to the best of your knowledge; and (iii) you have a good-faith basis to share such information within the SheRecs community. You agree to submit only contact information that was shared with you by the service provider in the context of your professional or service relationship. SheRecs reserves the right to remove any RecCard that it reasonably believes does not satisfy these standards.

When prompted during submission, you will be asked to confirm these representations. The confirmation prompt is a reminder of obligations you have already accepted by agreeing to these Terms, not a separate agreement.

3.4 Self-Recommendation Disclosure

If you submit a RecCard recommending yourself or your own business or services, you must disclose this by selecting the “I am this provider” option during submission. This disclosure will be visible to members who view the Rec. Failure to disclose a material connection between yourself and a recommended provider may violate these Terms, our Community Guidelines, and applicable FTC guidelines regarding endorsements.

3.5 Acceptable Use Policy

The following terms constitute our “Acceptable Use Policy.” You agree not to use the Site or Services to collect, upload, transmit, display, or distribute any User Content: (i) that violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or other intellectual property or proprietary right; (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another's privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, or patently offensive, or that promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual; (iii) that is harmful to minors in any way; or (iv) that violates any applicable law, regulation, or third-party obligation.

In addition, you agree not to: (i) upload, transmit, or distribute to or through the Site any computer viruses, worms, or software intended to damage or alter a computer system or data; (ii) send through the Site unsolicited or unauthorized advertising, promotional materials, spam, chain letters, pyramid schemes, or other duplicative or unsolicited messages; (iii) harvest, collect, or assemble information or data regarding other users, including email addresses, without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Site; (v) attempt to gain unauthorized access to the Site or connected systems; (vi) harass or interfere with any other user's use and enjoyment of the Site; or (vii) use automated agents or scripts to produce multiple accounts or to generate automated searches, requests, or queries, or to scrape, strip, or mine data from the Site.

3.6 Enforcement

SheRecs reserves the right, but has no obligation, to review, refuse, and/or remove any User Content in its sole discretion, and to investigate and take appropriate action against any member who violates the Acceptable Use Policy or any other provision of these Terms. Such action may include removing or modifying User Content, terminating an Account in accordance with Section 11, and/or reporting conduct to law enforcement authorities. SheRecs may disclose your content to third parties outside the Services when SheRecs believes it is required to do so by law or regulation, or that doing so is necessary to prevent harm to a person or to protect SheRecs's rights or property.

4. Service Provider Information

4.1 Collection of Service Provider Information

As part of the RecCard submission process, members may submit contact information for recommended service providers, including names, phone numbers, email addresses, social media handles, and websites (“Provider Information”). By submitting Provider Information, you represent and warrant that the information was shared with you by the service provider in the context of your professional or service relationship with that provider, and that you have a good-faith basis to share it within the SheRecs community. Please submit only Provider Information appropriate to the professional or service context of your relationship with the provider.

4.2 Storage and Initial Access

Provider Information submitted as part of a RecCard is stored securely and is initially accessible only to the member who submitted it. SheRecs does not share Provider Information with other members until the introductory process described in Section 4.3 has been completed. SheRecs does not share Provider Information with any third party, except as described in our Privacy Policy or as otherwise required by law.

4.3 Provider Introductory Period

Before a RecCard's Provider Information becomes available to other members, SheRecs provides a brief introductory period, typically no longer than a few business days, during which the service provider is introduced to the platform. During this period: (i) the recommending member is asked to personally notify the provider that their name or business has been recommended on SheRecs; and (ii) SheRecs may reach out to the provider directly to introduce the platform. This introductory period gives providers the opportunity to learn about SheRecs and, if they wish, to manage how their information is presented before it becomes available to other members. SheRecs reserves the right to adjust the length of the introductory period as operational needs require.

4.4 Provider Management and Opt-Out

Service providers who have been recommended on SheRecs and who wish to manage, update, or request removal of their information from the platform may do so at any time by visiting sherecs.com/providers or by contacting SheRecs at contact@sherecs.com. SheRecs will respond to all such requests promptly. Members are encouraged to let providers know they have been recommended on SheRecs so providers can be aware of and manage their listing.

4.5 Nature of Provider Information

SheRecs does not independently verify Provider Information. SheRecs makes no representations regarding the accuracy, completeness, or currency of any Provider Information submitted by members. Provider Information on SheRecs is submitted by individual members and reflects their personal knowledge at the time of submission. SheRecs is not a directory service and does not represent that the Provider Information available on the platform is comprehensive, current, or authoritative.

5. Privacy and Data

5.1 Privacy Policy

SheRecs's collection, use, and disclosure of personal information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to our collection and use of your personal information as described in the Privacy Policy.

5.2 Member Data Rights

Members may request access to, correction of, or deletion of their personal information at any time by contacting SheRecs at contact@sherecs.com. Depending on your jurisdiction, you may have additional rights under applicable state or federal privacy laws, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA). Please see our Privacy Policy for a full description of available rights and how to exercise them.

5.3 Privacy Architecture

SheRecs is designed to give members meaningful control over how their Recs are shared. By default: (i) a member's complete RecList is never visible to anyone other than that member; (ii) individual Recs are shared with the recommending member's name only when they match what a friend of that member is searching for; and (iii) individual Recs are shared without the recommending member's name (anonymized) when they match what a neighbor or friend-of-a-friend is searching for. Members may further customize their sharing preferences in their privacy settings at any time.

5.4 Direct Messaging and De-Anonymization

When a member requests to send a direct message to the recommender of an anonymized Rec, the recommending member may choose whether to respond. Responding to such a message request will reveal the responding member's identity to the requesting member. Members will receive a clear in-app notice of this consequence before their response is sent. SheRecs is not responsible for any consequences arising from a member's voluntary decision to respond to a message request and reveal their identity.

5.5 Data Security

SheRecs implements commercially reasonable technical and organizational measures designed to protect personal information against unauthorized access, disclosure, alteration, or destruction. However, no internet transmission or electronic storage is completely secure, and SheRecs cannot guarantee absolute security. In the event of a data breach that requires notification under applicable law, SheRecs will provide notice in accordance with those legal requirements.

6. Platform Features and Advertising

6.1 Community Features

The Services include community features such as HotRecs, GetToKnowHer, and OnHerMind, through which members may share content beyond service provider recommendations. All content posted through community features constitutes User Content subject to Section 3 and our Community Guidelines. Members may configure the audience for their community feature responses in their privacy settings.

6.2 Advertising Commitment

Every Rec result returned in response to a member's search will be a genuine community recommendation submitted by a SheRecs member. Paid placements, sponsored listings, or advertisements will never appear as Recs on SheRecs. Sponsored or branded content may appear in other designated areas of the platform but will always be clearly and conspicuously labeled as such so that members can distinguish it from organic community content. This commitment does not limit SheRecs's right to enter into advertising or partnership relationships that are disclosed and labeled in accordance with this Section and applicable FTC guidelines.

6.3 Third-Party Links and Advertisements

The Site and Services may contain links to third-party websites and services, and may display advertisements for third parties (collectively, “Third-Party Links & Ads”). Third-Party Links & Ads are not under the control of SheRecs, and SheRecs is not responsible for them. SheRecs provides access to Third-Party Links & Ads only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to them. You use all Third-Party Links & Ads at your own risk and should apply appropriate caution. When you click on a Third-Party Link or Ad, the applicable third party's terms and privacy policy govern.

7. Indemnification

You agree to indemnify, defend, and hold harmless SheRecs and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or Services; (b) your User Content, including any Provider Information you submit; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third party's rights, including any privacy, intellectual property, or publicity right. SheRecs reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with SheRecs's defense of such claims. You agree not to settle any indemnified matter without SheRecs's prior written consent. SheRecs will use reasonable efforts to notify you of any claim, action, or proceeding subject to indemnification upon becoming aware of it.

8. Other Users; Release

8.1 Other Users

Each member is solely responsible for their own User Content. SheRecs does not control User Content and is not responsible for any User Content, whether provided by you or others. Other members' content is theirs and does not necessarily reflect SheRecs's views. SheRecs does not endorse or verify the accuracy or reliability of content shared by members. Your interactions with other members are solely between you and those members. SheRecs will not be responsible for any loss or damage incurred as the result of any such interactions. If there is a dispute between you and any other member, SheRecs has no obligation to become involved.

SheRecs operates as a platform for member-generated content. Consistent with Section 230 of the Communications Decency Act (47 U.S.C. § 230), as currently in effect, SheRecs is not the publisher or speaker of User Content and is not liable for User Content submitted by members. This limitation applies to the fullest extent permitted by applicable law.

8.2 Release

You hereby release and forever discharge SheRecs and its officers, directors, employees, agents, successors, and assigns from any and all past, present, and future disputes, claims, controversies, demands, rights, obligations, liabilities, actions, and causes of action of every kind and nature, including personal injury, death, and property damage — arising directly or indirectly from, or related directly or indirectly to, the Site, Services, or your interactions with other members or Third-Party Links & Ads.

IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING. SECTION 1542 STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. SHERECS AND ITS SUPPLIERS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. SHERECS MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICES, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO 90 DAYS FROM THE DATE OF FIRST USE.

RECOMMENDATIONS ON SHERECS ARE THE PERSONAL OPINIONS OF INDIVIDUAL MEMBERS BASED ON THEIR OWN EXPERIENCES. SHERECS DOES NOT ENDORSE, WARRANT, OR GUARANTEE ANY RECOMMENDED SERVICE PROVIDER, AND MAKES NO REPRESENTATION THAT ANY PROVIDER IS LICENSED, INSURED, CREDENTIALED, OR APPROPRIATE FOR ANY PARTICULAR PURPOSE. NOTHING ON SHERECS CONSTITUTES A PROFESSIONAL REFERRAL OR ENDORSEMENT OF ANY KIND.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

10. Limitation on Liability

SHERECS DOES NOT EXCLUDE OR LIMIT ITS LIABILITY TO YOU WHERE IT WOULD BE ILLEGAL TO DO SO. IN JURISDICTIONS WHERE CERTAIN EXCLUSIONS OR LIMITATIONS ARE NOT ALLOWED, SHERECS IS RESPONSIBLE TO YOU ONLY FOR LOSSES AND DAMAGES THAT ARE A REASONABLY FORESEEABLE RESULT OF SHERECS'S FAILURE TO USE REASONABLE CARE AND SKILL OR SHERECS'S MATERIAL BREACH OF ITS CONTRACT WITH YOU. THIS PARAGRAPH DOES NOT AFFECT CONSUMER RIGHTS THAT CANNOT BE WAIVED OR LIMITED BY CONTRACT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHERECS, ITS AFFILIATES, AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SHERECS HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY PROVIDED IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW, SHERECS LIMITS ITS TOTAL CUMULATIVE LIABILITY TO YOU TO THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO SHERECS IN THE THREE MONTHS IMMEDIATELY BEFORE YOUR CLAIM FIRST ARISES; OR (B) ONE HUNDRED U.S. DOLLARS ($100 USD).

SHERECS IS NOT LIABLE FOR THE CONDUCT OR CONTENT, WHETHER ONLINE OR OFFLINE, OF ANY MEMBER OR OTHER USER OF ITS SERVICES. THE LIMITATION OF LIABILITY DESCRIBED ABOVE APPLIES FULLY TO RESIDENTS OF NEW JERSEY TO THE EXTENT PERMITTED BY APPLICABLE LAW.

THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SHERECS AND YOU.

11. Term and Termination

These Terms will remain in full force and effect while you use the Site and Services. SheRecs may suspend or terminate your rights to use the Site, including your Account, at any time for any reason in its sole discretion, including for any use of the Site in violation of these Terms. Upon termination, your Account and right to access and use the Site will terminate immediately. Any termination of your Account may involve deletion of your User Content from SheRecs's live databases. SheRecs will not have any liability to you for any termination of your rights, including for termination of your Account or deletion of your User Content.

The following sections survive termination of these Terms: Sections 2.2 through 2.6, Section 3, and Sections 4 through 13.

12. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE A JURY TRIAL. UNLESS YOU OPT OUT WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS, ALL DISPUTES WILL BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

12.1 Informal Dispute Resolution

Most disputes can be resolved informally. If you have a concern or dispute relating to the Services, you agree to first contact SheRecs and use good-faith efforts to resolve the dispute through negotiation before initiating any formal proceeding. To initiate informal resolution, email contact@sherecs.com a written notice (“Written Notice”) that includes: (1) your name; (2) the email address associated with your account; (3) a detailed description of the dispute; and (4) the resolution you are seeking. SheRecs will respond within a reasonable period. If the dispute is not resolved within 60 days of receipt of a complete Written Notice, either party may initiate formal dispute resolution as described below. Completion of this informal process is a prerequisite to initiating arbitration.

12.2 Binding Arbitration

After completing the informal process above, if the dispute is not resolved, either party may initiate binding arbitration as the sole means to resolve the dispute, except as provided in Section 12.2(c). Any dispute between you and SheRecs relating in any way to the Site, Services, or these Terms will be resolved by binding arbitration rather than in court, except that either party may seek equitable relief in court for infringement or other misuse of intellectual property rights.

The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement. Arbitration will be conducted by JAMS under its applicable rules, as follows: (a) disputes with an amount in controversy below $250,000 (exclusive of attorneys' fees and interest) will be subject to JAMS Streamlined Arbitration Rules; (b) all other disputes will be subject to JAMS Comprehensive Arbitration Rules. JAMS rules are available at www.jamsadr.com or by calling JAMS at 800-352-5267. JAMS's Consumer Minimum Standards of Procedural Fairness (effective May 1, 2024, as updated) are incorporated by reference and will apply to any consumer arbitration under these Terms.

12.3 Arbitration Request

To initiate arbitration, the requesting party must provide the other party with a written Request for Arbitration that includes: (1) name, telephone number, mailing address, and email address of the requesting party and the account username, if applicable; (2) a statement of the legal claims being asserted and their factual bases; (3) the remedy sought and a good-faith calculation of the amount in controversy; (4) a statement certifying completion of the informal dispute resolution process; and (5) evidence that any required filing fees have been paid. If you are represented by counsel, counsel must also sign the Request and certify that the claims are not frivolous.

12.4 Arbitration Procedures

Unless you and SheRecs agree otherwise, arbitration will be conducted in the county where you reside. The arbitrator may direct a limited and reasonable exchange of information between the parties, consistent with the expedited nature of arbitration. All materials and documents exchanged during arbitration will be kept confidential and not shared with anyone except the parties' attorneys, accountants, or business advisors, subject to confidentiality obligations. The arbitrator will have exclusive authority to resolve all disputes subject to arbitration, except as specified in this Section.

12.5 Arbitrator Authority

The arbitrator shall have authority to award on an individual basis the same damages and relief available in court, consistent with applicable law and these Terms. The arbitrator will issue a written award and statement of decision. The arbitrator's award is final and binding. Judgment on the award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, the following matters shall be decided by a court of competent jurisdiction rather than an arbitrator: (a) any dispute about the enforceability, scope, or applicability of the class action waiver in Section 12.6; (b) disputes about whether the informal dispute resolution prerequisite has been satisfied; and (c) disputes about which version of the arbitration agreement applies.

12.6 Waiver of Class or Collective Relief

YOU AND SHERECS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF, AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY'S INDIVIDUAL CLAIM. If a court determines that this class waiver is invalid or unenforceable as to a particular claim, that claim only may be litigated in state or federal courts located in the District of Columbia; all other claims remain subject to arbitration.

12.7 Batch Arbitration

In the event that 100 or more substantially similar arbitration demands are filed against SheRecs within a 30-day period with the assistance of the same law firm or organization, JAMS will administer such demands in batches of 100 per batch, with one arbitrator per batch and one set of filing and administrative fees per side per batch. Requests are “substantially similar” if they arise from the same or related events and raise the same or similar legal issues seeking the same or similar relief. This provision does not authorize a class, collective, or mass arbitration except as explicitly described herein.

12.8 Jury Trial Waiver

EXCEPT AS PROVIDED IN SECTION 12.2, YOU AND SHERECS WAIVE ALL CONSTITUTIONAL AND STATUTORY RIGHTS TO HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. ALL COVERED DISPUTES WILL BE RESOLVED EXCLUSIVELY BY ARBITRATION UNDER THIS SECTION.

12.9 Attorneys' Fees

Each party shall bear its own attorneys' fees and costs in arbitration, unless the arbitrator finds that the substance of a claim or the relief sought was frivolous or brought for an improper purpose under the standards of Federal Rule of Civil Procedure 11(b). If a court must compel arbitration, the party obtaining the order compelling arbitration may recover its reasonable costs, disbursements, and attorneys' fees from the other party.

12.10 30-Day Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice to contact@sherecs.com within 30 days of first becoming subject to these Terms. Your notice must include your name, account email address, and a clear statement that you are opting out of arbitration. Opting out of arbitration does not affect any other part of these Terms.

12.11 Severability

If any part of this Section 12 is found to be invalid or unenforceable (other than the class waiver in Section 12.6), that part will be severed and the remainder of this Section will continue in full force and effect. Disputes must be initiated within the applicable statute of limitations period.

12.12 Modification of Arbitration Agreement

SheRecs may modify this arbitration agreement upon notice. If you object to any material change, you may reject it by notifying SheRecs in writing at contact@sherecs.com within 30 days of the change becoming effective. If you reject a change, the arbitration agreement in effect at the time you first accepted these Terms will continue to apply to you.

12.13 Choice of Law and Venue

These Terms and all disputes between you and SheRecs shall be governed by the laws of the United States and the laws of the District of Columbia, without regard to conflict of law principles. Any non-arbitrable disputes shall be brought exclusively in the state or federal courts located in the District of Columbia.

13. General

13.1 Changes to These Terms

These Terms are subject to revision. If SheRecs makes material changes, it will notify you by email to the address associated with your account and/or by posting prominent notice on the Site. You are responsible for providing and maintaining a current email address. Continued use of the Site following notice of material changes constitutes your acceptance of the revised Terms.

13.2 Paid Services

SheRecs currently does not charge for basic access to the Services. SheRecs may in the future offer premium features, tiered membership options, or other paid services. Any paid services will be subject to additional terms presented at the time of purchase, including pricing, billing cycle, auto-renewal terms, refund policy, and cancellation procedures. SheRecs will provide advance notice of any fee changes that affect your current membership, consistent with Section 13.1 and the FoundingCircle commitment in Section 1.3.

13.3 Data Charges

You are responsible for any mobile data charges you may incur for using the Services, including charges for SMS, MMS, or other messaging protocols. If you are unsure what charges may apply, consult your mobile carrier before using the Services.

13.4 Bug Reporting

SheRecs supports the responsible disclosure of security vulnerabilities. To report a security issue, please contact us at tech@sherecs.com. Please provide sufficient detail to allow us to assess and address the issue. SheRecs will acknowledge valid security reports and work to address confirmed vulnerabilities in a timely manner.

13.5 Waiver, Severability, and Assignment

SheRecs's failure to enforce any provision of these Terms does not constitute a waiver of its right to do so in the future. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. You may not assign these Terms without SheRecs's prior written consent. SheRecs may assign its rights under these Terms to any affiliate, subsidiary, or successor in interest.

13.6 Survival

Sections 2.2 through 2.6, Section 3, Section 4, Section 5.3 through 5.5, Sections 7 through 12, and any other provisions that by their nature should survive termination will survive expiration or termination of these Terms.

13.7 Apple App Store

If you download the SheRecs app from the Apple App Store or use the Services on an iOS device, the following applies. These Terms grant a non-transferable license to use the SheRecs app on any Apple device you own or control and as permitted by Apple's policies. Apple has no obligation to provide maintenance or support for the SheRecs app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the app. Apple is not responsible for: (i) product liability claims; (ii) claims that the app fails to conform to any legal or regulatory requirement; or (iii) consumer protection claims. Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that your use of the app infringes intellectual property rights. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a U.S.-embargoed country and are not on any U.S. Government restricted-party list.

13.8 Google Play Store

If you download the SheRecs app from the Google Play Store or use the Services on an Android device, the following applies. These Terms are between SheRecs and you; Google is not a party. Google has no obligation to provide maintenance or support for the app. To the maximum extent permitted by law, Google will have no warranty obligation with respect to the app. Google is not responsible for addressing any claims by you or any third party relating to the app or your use of it. If you acquired the app on your minor's behalf, you are responsible for compliance with these Terms. Google is a third-party beneficiary of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.

13.9 Electronic Communications

By using the Site and Services or communicating with SheRecs by email, you consent to receive communications from SheRecs electronically. You agree that all terms, notices, disclosures, and other communications that SheRecs provides electronically satisfy any legal requirement that such communications be in writing. This does not affect any non-waivable rights you may have.
